COLLECTLAB B2B GENERAL TERMS & CONDITIONS
General Terms of Sale for Business Customers
Effective from: August 2026
These CollectLab B2B General Terms & Conditions (“B2B Terms”) govern all business-to-business transactions between ALTA GROUP, trading as CollectLab (“CollectLab”, “we”, “us”), and approved professional customers (“B2B Customer”, “Customer”).
These B2B Terms constitute the general contractual conditions applicable to CollectLab B2B accounts, orders, pre-orders and purchases.
By applying for or using a CollectLab B2B account, accessing B2B pricing, submitting an order or pre-order, or otherwise purchasing through CollectLab B2B, the Customer confirms that:
it is acting exclusively in the course of its business or professional activity;
the information provided to CollectLab is accurate;
it has read and accepted these B2B Terms; and
it agrees that orders and confirmed pre-orders are governed by these B2B Terms without the need to sign a separate individual agreement, unless CollectLab specifically requires one.
1. B2B CUSTOMER ELIGIBILITY
CollectLab B2B is available exclusively to registered businesses and professional buyers.
Applicants may be required to provide information including:
legal company name;
registered business address;
company registration number;
VAT number, where applicable;
website, online store or marketplace information;
nature of business;
billing and shipping information.
CollectLab may verify the information provided before approving a B2B account.
CollectLab reserves the right to approve, decline, suspend or terminate B2B access where reasonably necessary, including in cases of inaccurate information, non-payment, repeated failure to complete confirmed orders, misuse of B2B pricing or violation of applicable brand or resale restrictions.
Approval of a B2B account does not guarantee access to every product, brand or territory.
2. B2B PRICING
Approved B2B Customers receive access to dedicated B2B pricing.
Prices may vary depending on the product, brand, quantity, availability, supplier conditions, territory and allocation status.
Certain limited editions, pre-orders, special releases or allocated products may have individual commercial conditions.
Prices displayed before final order confirmation may be corrected where an obvious technical, pricing or administrative error has occurred.
B2B pricing and commercial conditions are intended exclusively for approved CollectLab B2B Customers.
3. MINIMUM B2B ORDER
The minimum B2B order value is:
€200 per order
The €200 minimum applies to the combined value of eligible products included in a single B2B order.
Products from different eligible categories may be combined to reach the minimum order value, including, where applicable:
in-stock collectibles;
eligible pre-orders;
Gift Bar products;
other products available through CollectLab B2B.
Shipping costs do not count towards the €200 minimum order value.
Individual products or brands may be subject to additional minimum quantities, case-pack requirements or allocation restrictions.
4. ORDER SUBMISSION AND ACCEPTANCE
Orders submitted through CollectLab B2B are subject to review.
After receiving an order, CollectLab may verify:
availability;
quantities;
B2B pricing;
applicable allocations;
territorial or brand restrictions;
shipping requirements;
payment requirements.
Submission of an order does not by itself guarantee availability or allocation.
An order becomes binding once it has been accepted or confirmed by CollectLab.
Where only part of the requested quantity is available, CollectLab may offer or confirm a reduced quantity.
5. PRODUCT AVAILABILITY
CollectLab works with in-stock products, limited editions, supplier allocations and future releases.
Availability may therefore change during order processing.
If a product becomes unavailable before final confirmation, CollectLab may remove it from the order or reduce the confirmed quantity.
For allocated products, the quantity confirmed by CollectLab may be lower than the quantity originally requested.
6. B2B PRE-ORDERS
CollectLab B2B may offer products for pre-order before their physical arrival.
Different B2B pre-orders may have different payment structures.
Depending on the product, a B2B pre-order may require:
no payment at the time of reservation;
a deposit;
partial advance payment; or
full advance payment.
The applicable payment structure will be displayed or communicated for the relevant pre-order.
CONFIRMED PRE-ORDERS ARE BINDING
Where CollectLab accepts and confirms a B2B pre-order or allocation, the Customer commits to purchasing the confirmed quantity.
This applies including where no payment or deposit was required at the time the pre-order was placed.
A confirmed B2B pre-order is a purchasing commitment and not a non-binding reservation, expression of interest or wishlist.
The Customer must therefore ensure that it intends and is financially able to purchase the requested quantity before submitting a B2B pre-order.
7. PRE-ORDER ARRIVAL & FINAL PAYMENT
When a pre-ordered product becomes available for delivery to the Customer, CollectLab will issue the applicable invoice or payment request for any outstanding balance.
Unless different conditions have been agreed in writing, the outstanding amount must be paid within:
3 BUSINESS DAYS
from the date the final invoice or payment request is issued.
Where shipping is applicable, the relevant shipping cost may be included in the final invoice.
Once payment requirements have been completed, the products will be prepared for dispatch.
8. FAILURE TO COMPLETE A CONFIRMED PRE-ORDER
If a Customer fails to pay for or complete a confirmed B2B pre-order within the applicable payment deadline, CollectLab may:
cancel the allocation;
release the products for sale to another customer;
retain any non-refundable deposit where applicable;
recover reasonable costs or losses resulting from the Customer's failure to complete the confirmed order, to the extent permitted by applicable law;
require deposits or advance payment for future orders;
restrict access to future pre-orders;
suspend or terminate the Customer's B2B account.
Repeated failure to complete confirmed pre-orders may result in permanent removal of B2B pre-order privileges.
9. MANUFACTURER RELEASE DATES
Estimated release dates are provided for information only.
Manufacturers and suppliers may:
postpone production;
change release dates;
modify product specifications;
change packaging or accessories;
reduce allocations;
cancel products or releases.
Such changes are outside CollectLab's reasonable control.
A change to an estimated release date does not automatically cancel the Customer's confirmed pre-order.
If a manufacturer permanently cancels a product, CollectLab will cancel the corresponding B2B pre-order and refund any payment received for that cancelled product where applicable.
10. LIMITED EDITIONS & ALLOCATIONS
Certain products may be available in very limited quantities.
CollectLab may limit quantities per Customer or allocate available stock between multiple B2B Customers.
Allocations may depend on factors including available supply, supplier allocation, territory, order history, demand and timing.
Requested quantities are not guaranteed until confirmed by CollectLab.
11. SHIPPING
Shipping costs are not calculated or charged at B2B checkout.
B2B shipping is available for orders meeting the applicable €200 minimum order value.
Shipping costs are calculated individually after the order has been reviewed because shipments may vary significantly in:
weight;
dimensions;
number of parcels;
destination;
carrier;
insurance requirements;
oversized or fragile products;
special handling requirements.
The applicable shipping cost will be added to the final invoice.
Shipping does not count towards the €200 minimum B2B order value.
12. ORDERS CONTAINING PRODUCTS WITH DIFFERENT AVAILABILITY DATES
A B2B order may contain in-stock products and/or pre-orders with different expected availability dates.
Products may therefore require separate shipments.
Where separate shipments are necessary or requested, shipping charges will be calculated according to the actual weight, dimensions, destination and number of shipments.
Applicable shipping charges will be communicated through the relevant invoice or payment request.
13. PAYMENT
Unless different terms are expressly stated for a particular product or agreed in writing, payment of a final B2B invoice must be completed within:
3 BUSINESS DAYS
from the date the invoice or payment request is issued.
CollectLab may require full payment before dispatch.
If payment is not received within the required period, CollectLab may:
cancel the order;
release reserved stock;
reduce or cancel allocations;
suspend the Customer's B2B account;
require advance payment for future orders.
Bank charges or fees imposed by the Customer's bank or payment provider are the responsibility of the Customer.
14. VAT, TAXES & IMPORT CHARGES
VAT treatment depends on the Customer's location, VAT status and applicable legislation.
The Customer is responsible for providing complete and accurate company and VAT information.
Where applicable, VAT will be charged according to the relevant tax rules.
Customs duties, import taxes, local taxes, customs-clearance fees or similar charges applicable at destination are the Customer's responsibility unless expressly agreed otherwise.
15. CANCELLATIONS
Confirmed B2B orders and confirmed B2B pre-orders are binding commercial commitments.
They may not be cancelled by the Customer after confirmation unless CollectLab expressly agrees to the cancellation in writing.
This applies particularly to:
pre-orders;
allocated products;
limited editions;
products sourced specifically for the Customer;
custom or personalised products.
Where CollectLab agrees to a cancellation, reasonable costs already incurred may be deducted from any amount refunded or credited, to the extent permitted by applicable law.
16. RETURNS & B2B RIGHT OF WITHDRAWAL
B2B purchases are commercial transactions.
Consumer withdrawal rights do not apply to purchases made by B2B Customers acting in the course of their business.
Returns are accepted only where authorised by CollectLab, including where:
an incorrect product was supplied;
an incorrect quantity was supplied;
the product arrived materially damaged; or
a verified manufacturing defect exists.
Change of mind, inability to resell a product, slower-than-expected sales or changes in the Customer's own demand do not create a right to return B2B products.
17. INSPECTION OF DELIVERY & CLAIMS
The Customer must inspect the shipment promptly after delivery.
Any claim relating to:
transport damage;
missing products;
incorrect products;
incorrect quantities;
visible material defects
must be submitted to CollectLab within:
2 BUSINESS DAYS OF DELIVERY
Claims should include:
order or invoice number;
description of the issue;
photographs of the product;
photographs of the outer and inner packaging where transport damage is involved;
any other reasonably requested evidence.
Products must not be returned without prior written authorisation from CollectLab.
Claims submitted after the 2-business-day period may be rejected except where applicable mandatory law provides otherwise.
18. TRANSPORT DAMAGE
Where a parcel arrives visibly damaged, the Customer should document the condition of the shipment immediately and, where reasonably possible, report the damage to the carrier at delivery.
The Customer must retain the damaged packaging until CollectLab confirms that it may be discarded.
Sufficient photographic evidence may be required to process a carrier or insurance claim.
19. PRODUCT INFORMATION
CollectLab makes reasonable efforts to provide accurate product information.
However, manufacturers may change:
specifications;
colours;
packaging;
accessories;
dimensions;
edition information;
release dates
without prior notice.
Manufacturer renders and prototype photographs may differ slightly from the final production item.
20. GIFT BAR B2B PRODUCTS
Selected CollectLab Gift Bar products may be available to approved B2B Customers, including:
wrapping paper;
gift bags;
gift boxes;
tissue paper;
ribbons;
greeting cards and envelopes;
gift tags;
stickers and seals;
balloons and balloon accessories;
curated gifting collections.
Colours may vary slightly between screens, materials and production batches.
Exact colour matching between different materials cannot always be guaranteed due to differences between paper, textile, foil, plastic, printing and manufacturing processes.
21. CUSTOM & PERSONALISED PRODUCTS
Custom-made, printed, personalised or branded products are produced specifically for the Customer.
Such products cannot normally be cancelled or returned once production has started.
The Customer is responsible for approving all artwork, spelling, text, colours and specifications before production.
CollectLab is not responsible for errors contained in artwork or information approved by the Customer.
22. RESALE
Products purchased through CollectLab B2B are intended for legitimate professional resale or commercial use.
The Customer is responsible for compliance with applicable laws, product requirements, marketplace rules and resale obligations in the territory where products are offered.
Certain brands, suppliers or products may be subject to territorial or resale-channel restrictions.
Where such restrictions apply, the Customer must comply with them.
23. THIRD-PARTY MARKETPLACES
Access to B2B products does not automatically grant permission to sell every product on every third-party marketplace.
Certain brands or suppliers may restrict sales through platforms such as Amazon, eBay or other marketplaces.
The Customer is responsible for ensuring that its resale activity complies with applicable brand, supplier, marketplace and legal requirements.
24. PRICING, STOCK & TECHNICAL ERRORS
CollectLab reserves the right to correct genuine pricing, stock, typographical or technical errors.
If a material error affects an order, the Customer will be informed before final confirmation where reasonably possible.
CollectLab is not required to supply a product at an obviously incorrect price resulting from a technical or administrative error.
25. B2B ACCOUNT & CONFIDENTIALITY
B2B pricing, commercial conditions and account access are intended for the approved Customer.
B2B login credentials must not be shared with unauthorised third parties.
CollectLab may suspend access where misuse, unauthorised access or improper disclosure of B2B commercial information is detected.
26. INTELLECTUAL PROPERTY
Third-party product names, trademarks and manufacturer materials remain the property of their respective owners.
CollectLab home trademarks, original photography, website content, B2B materials and original CollectLab Gift Bar designs may not be reproduced or commercially used without permission.
27. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, CollectLab will not be liable for indirect or consequential losses, loss of profit, loss of opportunity, loss of resale revenue or similar commercial losses resulting from supplier delays, stock shortages, reduced allocations, manufacturer changes or cancelled releases.
Nothing in these B2B Terms excludes or limits liability where such exclusion or limitation is prohibited by mandatory law.
28. FORCE MAJEURE
CollectLab is not responsible for delays or failure to perform caused by circumstances outside its reasonable control, including carrier disruption, customs delays, strikes, natural disasters, war, government restrictions, supplier failures, manufacturing delays or major infrastructure and system outages.
29. CHANGES TO THESE B2B TERMS
CollectLab may update these B2B Terms from time to time.
The version applicable to an individual order or confirmed pre-order will be the version in effect when that order or pre-order was accepted, unless otherwise required by applicable law or agreed in writing.
30. CONTRACT FORMATION
These B2B Terms form part of the contractual relationship between CollectLab and the B2B Customer.
The Customer's acceptance may be recorded electronically, including by:
creating or activating a B2B account;
ticking an acceptance checkbox;
submitting a B2B order;
submitting a B2B pre-order;
completing payment.
No separately signed individual B2B agreement is required unless CollectLab specifically requests one.
31. GOVERNING LAW & JURISDICTION
These B2B Terms and all contractual relationships arising under them are governed by the laws of Italy.
Any dispute arising out of or in connection with these B2B Terms or a B2B transaction shall be subject to the jurisdiction of the competent courts of [Milan/ Italy], unless mandatory applicable law provides otherwise.
ACCEPTANCE OF B2B TERMS
By applying for a CollectLab B2B account, accessing B2B pricing, submitting an order or pre-order, the Customer confirms that it has read, understood and accepted these CollectLab B2B General Terms & Conditions.
